Description

  • Pro-actively drive the organisation of the board meetings from beginning to end. This includes the drawing up of meeting agendas in close collaboration with the Chair of the Board of Directors, Board Committees and the CEO and timely distribution of board documents using available tooling;
  • Produce high quality minutes including the capturing of board decisions and action points;
  • Manage actions in preparation of or which result from the board meetings by actively engaging with internal stakeholders in a timely manner;
  • Ensure that correct procedures are followed and that the governance bodies act in accordance with their statutory obligations as laid down in various documents such as the Articles of Association, the corporate board charters. Important sources in this respect are the Belgian Code of Companies and Associations and, the Belgian Banking Code and the EBA Guidelines on Internal Governance;
  • Corporate housekeeping tasks in general: preparation, drafting and review of corporate legal documents, corporate filings and registrations, interaction with notaries, registries and regulators, drafting minutes of board meetings and general assemblies of affiliated companies, proxies, …
  • Assure compliance with our client Group’s corporate programs and policies (proxies, equity participations, control legal entities, etc).

Your profile

  • Specific corporate (para)legal knowledge and background, or solid practical experience with regard to bank governance and company law;
  • A master or bachelor degree (or equivalent by experience), in a (para)legal domain offering general knowledge and understanding of the relevant business and corporate legal environment of our client, combined with a general understanding of the banking sector and its activities;
  • Capability to organise and prioritise with an analytical mind and proven attention for detail;
  • Excellent listening and writing skills, hands-on and pragmatic handling of administrative tasks that come with the job;
  • Affinity with senior stakeholder management: excellent communication skills, a strong sense for organisational sensitivity and modest where needed;
  • Ability to deal with highly confidential and sensitive information, in a fast-paced and complex environment;
  • Proactive, available, flexible, curious, and resilient with the capacity to quickly familiarise yourself with new subject matters or changing day-to-day priorities;
  • Service oriented mindset, with the ability to work in a demanding environment, embodies trust;
  • Excellent skills in working with MS Office (Word, Excel, PowerPoint, Teams) and can also familiarise yourself quickly with other IT applications, such as iManage, Sherpany;
  • Excellent language skills both written and spoken in English, French and Dutch
